Pre vs. Post money valuation

Are you a fundraising startup? If so, it's essential to understand some key financial concepts that can significantly impact your business's growth and investment potential.

One of these concepts is the distinction between pre-money and post-money valuations.


Pre-Money Valuation:

Pre-money valuation refers to the estimated value of your startup before it receives any new investment or funding. This valuation is crucial because it helps determine how much equity you will need to give away in exchange for the investment.

For instance, if your startup is valued at £2 million pre-money and you secure a £500,000 investment, the pre-money valuation indicates that investors believe your company is worth £2 million based on its current performance, assets, market potential, and other factors.

Understanding your pre-money valuation is vital for negotiations with potential investors. It sets the stage for discussions about how much of your company you are willing to sell and at what price. A higher pre-money valuation can be advantageous, as it means you retain more ownership of your company after the investment.


Post-Money Valuation:

On the other hand, post-money valuation is the value of your startup immediately after the investment has been made. It is calculated by adding the amount of new investment to the pre-money valuation.

Using the previous example, if your startup has a pre-money valuation of £2 million and you receive a £500,000 investment, your post-money valuation would be £2.5 million (£2 million + £500,000).

The post-money valuation is significant because it determines the percentage of the company that the new investors will own.

In this case, the £500,000 investment would represent 20% of the company (£500,000 divided by £2.5 million).


In our experience, it is easier for founders to use pre-money valuation in communications with potential investors. Investors may want to calculate their percentage of ownership.
